InterVac Design Corp. Comprehensive Brand Protection and Compliance Policy (MAPP & IPP)
1. Overview and Scope
This Brand Protection and Compliance Policy (MAPP & IPP) governs all interactions with InterVac Design Corp. products, including manufacturing, distribution, marketing, and sales by authorized resellers, distributors, and any affiliated parties. By engaging in any business relationship with InterVac Design Corp., all parties agree to abide by the terms of this policy. InterVac reserves the right to modify this policy with prior notice.

2. Minimum Advertised Price (MAP) Policy

(MAP) unilaterally. All advertising, regardless of medium, must not display a price lower than the established MAP. - Promotions: Discount promotions are only permitted with prior written approval from InterVac Design Corp.
- Consequences of Non-Compliance: Violations of MAP may result in progressive enforcement actions, including written warnings, suspension of supply, and potential termination of the business relationship.

materials, logos, images) must be returned or destroyed. - Cessation of Use: In case of non-compliance, the reseller must immediately stop using
all InterVac intellectual property in advertising and promotional materials.
4. Authorized Reseller Program and Distribution Control
Objective: To ensure all InterVac products are represented by vetted, trained, and authorized parties only.
- Authorization and Certification: Resellers must apply for and obtain authorization from InterVac. Only certified resellers may use official branding and marketing materials.
- Distribution Control: Unauthorized resale, diversion to third-party vendors, and selling on unauthorized marketplaces (e.g., Amazon, eBay) are strictly prohibited.
- Serial Number Tracking: InterVac tracks products via serial numbers to detect
unauthorized distribution, and violations may lead to account suspension or termination.
5. Digital and Online Compliance Policy
Objective: To maintain a controlled, consistent brand presence online.
- Branding Compliance: Only authorized branding, descriptions, and images from
InterVac may be used in online listings. - Online Marketplace Restrictions: Selling on unauthorized online marketplaces is not

7. Warranty and Return Policy Compliance
Objective: To maintain consistency with InterVac’s official warranty and return policy as stated on InterVac’s website.
- Domestic Warranty Adherence: Resellers must adhere to InterVac’s warranty and return terms within the United States.
- Foreign Sales Warranty Policy: All products sold outside the U.S. are sold “as-is, where-is,” with no warranty coverage, and resellers must clearly disclose this to international customers.

- Service Standards: Resellers must comply with InterVac’s customer service standards, including response times and return handling.
- Monitoring: InterVac reserves the right to assess customer satisfaction and address any areas of concern that affect brand perception.
10. Anti-Discounting and Price Integrity Policy
Objective: To maintain the premium value of InterVac products in the market.
- Discount Control: Resellers are prohibited from discounting InterVac products excessively. Any markdowns must be pre-approved in writing.
- Auditing: InterVac conducts regular price audits to ensure adherence to pricing standards, with corrective actions for non-compliance.
11. Product Alterations and Repackaging Restrictions
Objective: To maintain product integrity and authenticity.
- No Alterations or Repackaging: Products must be sold in their original packaging. Alteration or tampering with packaging, labels, or instructions is strictly prohibited.
- Misrepresentation: Resellers may not mislabel or misrepresent InterVac products in any way.
12. Anti-Bait-and-Switch Policy
Objective: To prevent misleading sales tactics.
- Accurate Listings: All product listings must be accurate, and resellers may not engage in bait-and-switch tactics.
- Policy Violation: Misleading customers or substituting products will result in enforcement actions, including potential account suspension.
13. Social Responsibility and Ethical Standards
Objective: To align with InterVac’s commitment to ethical practices and sustainability.
- Fair Labor and Environmental Compliance: Resellers must adhere to ethical business practices, including fair labor standards and environmentally responsible practices.
- Product Disposal: Products must be disposed of in a manner that aligns with InterVac’s environmental guidelines, particularly if discontinued or damaged.
14. Public Relations (PR) and Press Policy
Objective: To control brand messaging in media and public forums.
- Pre-Approval for PR Statements: All press releases or public statements regarding
InterVac products must be approved by InterVac. - Social Media Monitoring: InterVac reserves the right to monitor social media mentions and address unauthorized or inaccurate brand representation.

- Legal Recourse: Severe or repeated violations may result in legal action, including injunctions or lawsuits, to protect InterVac’s interests and seek damages.
16. Policy Changes and Amendments
InterVac Design Corp. reserves the right to amend this policy with prior written notice. All resellers must agree to and comply with any updated terms to continue their business relationship
with InterVac.
17. Acknowledgment and Acceptance
By engaging in any business dealings with InterVac Design Corp., all resellers, distributors, and affiliated parties accept and agree to adhere to these policies. InterVac reserves the right to terminate business relationships with any entity that fails to comply with these policies.
